2024 AGM
2024... OUR FIRST GOLD RUSH
First of all, thank you for your continued support over this past year. We’re focused on changing the face of investing, and we believe the response from our community shows we’re well on our way to achieving this goal.
Since launching the platform at the end of 2023, we have accomplished significant milestones and received an incredible response from our community. At the time of writing this (November 2024), Goldie has facilitated over a million in trades and counting, and we’ve been featured by leading media outlets such as NZ Herald, Stuff, Breakfast, The Spinoff, RNZ, NZ Marketing Magazine, Idealog, BusinessDesk, NBR, Kia Ora, Informed Investor, and The Dominion Post. This incredible media support has given us an amazing boost, and we’re deeply grateful. Additionally, we were finalists at both the NZ Marketing Awards and the Wellington Gold Awards. We’ve built a purpose-driven community, with over 55% of our investors identifying as female, and grown to nearly 10,000+ users. Not to forget the acceleration we'll be kicking the year off with after being selected for the Creative HQ accelerator.
We set out to disrupt the industry, break the barriers for kiwis and change the face of investing in Aotearoa... a goal many felt was too ambitious. Thanks to the incredible support from our community and the engagement we’ve had on the platform, we’re proving that Goldie is not only redefining investing but also earning the backing of those who share our vision for a more inclusive and innovative future.
GOLDIE VAULTS LIMITED AND GOLDIE NOMINEE LIMITED
If you’re wondering about the difference between the Goldie brand and Goldie Nominees Limited, here’s a quick explanation... Goldie Nominees Limited (GNL) is a separate legal entity, distinct from Goldie Vaults Limited (GVL), the brand. GNL was established under New Zealand law to securely manage and hold assets on behalf of shareholders. Shareholders of GNL are users who hold active investments in their vaults. While GVL focuses on the platform, branding, and customer experience, GNL provides the legal and operational framework to safeguard your investments with the highest level of security and compliance.
Earlier this year, we began working on adding new assets to the platform, which has driven updates to our terms, constitution, and investment memorandum (IM), along with key new appointments to align with our growth. Noting the resource requirements and costs associated with launching silver, and then going through the same process for platinum a few months later, we made the decision to pause the launch. It was a hard decision, but it allowed all amendments and approval processes to be handled together, streamlining the process significantly and saving both time and costs. So we want to take a moment to express our sincere gratitude to shareholders who have been eagerly awaiting silver’s launch.

2025... AOTEAROA'S Golden Era
With gold & silver at new record highs & big steps being made at our end to launch ‘The Market’, we could easily have a whole email for each update. For now, we will kick things off by saying congrats to everyone who has metal in your vault. Goldie has already helped Kiwis invest in their future, which means everything to us. You have joined & contributed to over $6m in trades in under two years, which is incredible. By doing this you are helping us move faster & keep improving the experience & concept of investing in real things. Your continued support over this past year gives us so much drive.
Since our last update in 2024, it has been an incredible year, with us already hitting our 2025 targets, all thanks to you. We are not slowing down. We need our community to help spread the word while we focus on building something unlike anything seen in the industry. We picked up a few awards & nominations & continue to gain strong media exposure. To all of our investors in that industry, thank you.
We set out to disrupt the industry, break the barriers for Kiwis & change the face of investing in Aotearoa, a goal many felt was too ambitious. Thanks to the support from our community & the engagement we have had on the platform, we are proving that Goldie is not only redefining investing but also earning the backing of those who share our vision for a more inclusive & innovative future. If anyone in our community wants to capitalise on the referral perks, please do. It is our way of saying thank you.
On the branding side, as Goldie Vaults Limited (GVL) prepares for ‘The Market’ & to amplify our purpose of bringing our community of investors together to invest in real things like art & collectables, we are changing our business name to ‘The Goldie Club’. To support this next phase of growth, we have secured goldieclub.com and we have been working on a restructure to a new bare trust model.
We will also launch a small merch shop to celebrate the app release & the move to The Goldie Club. We did not plan to be offering a downloadable app this month, but we can now share our app will have a new look & new features. It will be downloadable in October. As always, we are focused on changing the face of investing in Aotearoa & you are the engine that is helping that become a reality. Help everyone in Aotearoa on their financial journey & provide instant real asset trading at market price that truly disrupts the industry.
Meanwhile, on the Goldie Nominee Limited (GNL) side of things, we are all about empowering you to invest in real assets. We are constantly seeking ways to improve the business structure to allow us to do more, while being better set up to amplify your security as an investor of.
Currently, when you invest with the Goldie platform, you become a shareholder in GNL, with the metals owned by GNL. You can currently only trade in decigrams, which means minimums of about $19.50 for gold & $0.25 for silver, which can be confusing & clunky. We think we can do better. To make asset holding simpler, we plan to transition from the current model to a bare trust model. Under this new model, assets will be held on bare trust by a nominee ensuring you have a direct beneficial interest in the metals or collectables you invest in. Each investor’s beneficial interest in the underlying asset will be held on a separate bare trust. We will maintain a ledger to record each investor’s holdings of fractional interests (i.e. their individual beneficial entitlement to the asset (Ledger). You will be able to trade in $1 increments making investing more straightforward and accessible. This change will help us deliver on our values and provide you with even greater protection and ownership of your assets.
To facilitate transition to the new model, we are proposing to transfer ownership of the assets to Goldie Club Nominee Limited (Trustee), a wholly owned subsidiary company of Goldie Vaults Limited. The Trustee will then hold your assets like gold and silver on bare trust for you in our trusted vault at NZ Vault, New Zealand’s safest treasury grade vault since 1931. We will then wind up GNL.
To make all this happen, the board of GNL has requested that a special meeting of shareholders be called for the purpose of considering and if thought fit passing the proposed special resolutions set out at the GNL governance page here. Please refer to the draft resolutions for information about these resolutions.
